Solana-based decentralized exchange Orca and lending platform Loopscale have merged under the name Formation, with Loopscale co-founder Luke Truitt as CEO. The company plans to combine Orca’s trading infrastructure with Loopscale’s lending and investment vaults, giving emerging assets a route from issuance to financing and trading. Orca has processed more than $550 billion in trading volume since 2021; Loopscale reports more than $150 million in deposits and over $2 billion in loans facilitated.
Why it matters
Formation is targeting sectors including AI, energy, robotics and defense, where the company says traditional financing can be too expensive for smaller deals. It aims to reduce those costs and eventually provide access to regulated U.S. capital markets. The strategy extends Orca’s push into tokenized finance, following its participation in an August proof of concept for a tokenized Korean won bond fund with Shinhan Asset Management, the Solana Foundation and Etherfuse.
The company says it is already working with Figure, Shinhan Asset Management, Superstate, R3 and Securitize to bring assets to market and support distribution. Over the next year, it plans to roll out tools for asset issuers and new investment strategies. Orca’s Christopher Montagano, who will be Formation’s chief strategy and legal officer, said liquidity alone is not enough to scale an asset.
Market impact
The merger brings trading, lending and investment vaults under one organization, positioning Formation to serve assets beyond crypto-native markets. Its ambitions depend on delivering tools that connect issuance with financing and trading, as well as its stated plan to reach regulated U.S. markets.
Orca and Loopscale will remain foundations of the ORCA and xORCA token network. Financial terms were not disclosed. Formation’s work with established asset managers and tokenization firms will be an early test of whether its model can attract issuers and investors across these sectors.
