SkyAI’s $201M Tender Requires SOL to Stay Above $100

The proposed $3-per-share buyback would return cash to tendering holders, but each security class must meet its own participation threshold and SkyAI can waive key conditions.

Nasdaq-listed SkyAI, formerly Sharps Technology, says it has about 80% of the cash needed for a planned tender offer at $3 per share, with a maximum payout of approximately $201 million. The offer is expected to require SOL to close above $100 throughout its 10-business-day period, alongside at least 50% participation in each specified securities class. SkyAI reported retaining approximately 600,000 SOL in an Oct. 13 SEC filing, down from approximately 1 million reported Oct. 11 after sales of about 1 million SOL.

Why it matters

The tender would let holders sell specified shares and warrants directly to SkyAI, ending their exposure to the company's SOL treasury and operating strategy for any securities purchased. Holders who do not tender, or whose securities are not purchased, would remain exposed to the company, which says it plans to build an AI financial platform.

The $201 million is a proposed maximum, not a guaranteed payout. SkyAI expects to use cash on hand and proceeds from SOL sales, and says the offer has no financing condition because its cash and digital assets exceed the maximum purchase price. However, the proposed SOL-price test and separate minimum tender thresholds could prevent completion unless SkyAI waives them.

Market impact

If more than 95% of a securities class is tendered and not withdrawn, SkyAI expects to prorate purchases within that class. Participation in one class would not make up for falling short in another, and holders would have withdrawal rights through the offer's expiration.

SkyAI expects the offer to begin on or around Oct. 15, subject to definitive materials setting final terms and procedures. The company says its board rejected Forward Industries' latest nonbinding proposal as undervaluing SkyAI. The SEC filing cautions that the tender may never commence.
