SEC, CFTC Expand Crypto Access After CLARITY Act Setback

The two pathways support controlled launches, but caps, issuer vetoes, registered intermediaries and revocable relief keep them well short of permanent market-structure rules.

Two days after the Senate failed to advance the CLARITY Act, the SEC and CFTC opened narrower routes for crypto-linked market access under existing law. The SEC created a five-year path for permissioned venues to trade tokenized US stocks through automated market makers, while the CFTC expanded relief for software providers connecting users to regulated derivatives markets. Neither action creates the broad market structure legislation would have delivered.

Why it matters

The Senate voted 49-50 against cloture on Sept. 15 on the motion to proceed to H.R. 3633. On Sept. 17, SEC Chairman Paul Atkins tied the legislative setback to the agency's Innovation Exemption, which creates a Tokenized Securities Venue category through Sept. 17, 2031 unless modified earlier.

The SEC route is deliberately limited. Tier 1 stocks are capped at 75 symbols and 0.25% of the prior month's average daily share volume per stock. Tier 2 stocks are capped at 250 symbols and 2.5% of average daily volume. Eligible tokenized stocks must retain equivalent dividend and voting rights, while synthetic exposure, warrants, rights and primary offerings are excluded. Issuers receive a 30-day objection window before an unaffiliated tokenized stock can trade on a venue.

Public blockchains can support the technology, but the market remains permissioned. Venues must verify participants or wallet addresses, publish transaction data, maintain records and halt trading when the underlying stock is halted.

Market impact

CFTC Letter 26-25 broadens the position previously granted to Phantom. Qualifying software providers can display market data, market derivatives contracts, solicit users, receive transaction-based fees and transmit user-directed orders without registering as introducing brokers for the covered activity. They cannot hold customer assets, generate express trading signals or control routing and execution.

Users must still be onboarded directly with a designated contract market, futures commission merchant or introducing broker. Collateral remains with a derivatives clearing organization or clearing-member FCM. The relief is a staff position, not a binding Commission rule, and can be modified, suspended or terminated.

The immediate opportunity is controlled deployment without waiting for Congress. The unresolved question is scale. Operators must show that liquidity, onboarding and issuer participation can develop within the SEC's caps, while software providers must prove that their interfaces remain genuinely passive.

Frequently asked questions

  1. What did the SEC authorize for tokenized stocks?

The SEC created a Tokenized Securities Venue category allowing qualifying permissioned venues to trade tokenized US stocks through automated market makers under conditional relief.

  2. How long does the SEC tokenized-stock pathway last?

The SEC exemption runs through Sept. 17, 2031 unless the Commission modifies it earlier.

  3. What limits apply to stocks traded through an SEC venue?

Tier 1 stocks are limited to 75 symbols and 0.25% of prior-month average daily volume per stock. Tier 2 stocks are limited to 250 symbols and 2.5%.

  4. What does CFTC Letter 26-25 allow software providers to do?

Qualifying providers can display market data, market derivatives contracts, solicit users, receive transaction-based fees and transmit user-directed orders without introducing-broker registration for the covered activity.

  5. Why do the SEC and CFTC actions fall short of CLARITY legislation?

Both actions create conditional operating space rather than general market-wide rights. The SEC route has caps and issuer objections, while the CFTC relief depends on registered firms and a nonbinding staff position.
